If neither heat nor matter can enter or leave a system, the system mustbe isolated. Is the above statement true? Please give reason too.

yes it is an isolated system.for example if water is placed in avessel which is closed as well as insulated that means totaly non conducting ,no exchange of matter or energy can take place between system and surroundings
